Vendor Terms & Conditions

Effective and Last Updated: Friday October 28th 2022

Please read this page carefully as it includes PayPal Acceptable Use Policy and Vendor Terms & Conditions applicable to all marketplace merchants/sellers/vendors whom must agree during registration prior to final approval. This page widely uses the term Vendor(s) [Seller(s) of the product(s)] and Store [Millennia].

(1) PayPal Acceptable Use Policy

You are independently responsible for complying with all applicable laws in all of your actions related to your use of PayPal’s services, regardless of the purpose of the use. In addition, you must adhere to the terms of this Acceptable Use Policy .

(2) Vendor Terms & Conditions

General Payout

The default commission pay rate to each Vendor for an order/invoice sale is 70%. Each small business/personal account Vendor rate of pay will be determined annually for sales production not to exceed 80% for physical products and 85% for digital products. Large corporation Vendor will receive 90% for physical products and 95% for digital products. In the event of mixed digital/physical product sales of an order/invoice, the physical product rate of pay will prevail. Store adjustment department will calculate the difference and credit Vendor’s PayPal account accordingly.

User Registration

Users and Guests have the option to apply for a Vendor account during or after the registration process. Consent to PayPal Acceptable Use, Stripe Terms of Service (if using both gateways) and Vendor Terms & Conditions is required. Vendor’s application require final approval, additional corporation/business/personal information will be needed for verified status (i.e.; W9, EIN/TIN/SSN for tax purposes).

State Taxes

Store will withhold and pay any tax not collected from Vendor physical product sales/shipping in California not Fulfilled by Store at a rate of 9.5% (State of California reserves the final jurisdiction on any increase of sales tax to be collected if necessary). Downloadable product sales in California are currently not subject to Digital tax (store based) regardless of consumer location. Vendors are to act with due diligence with their State legislature for any Digital Tax selling within the state where Vendor reside.

VENDOR IS RESPONSIBLE FOR ANY AND/OR ALL DIGITAL/PHYSICAL TAX NOT COLLECTED BY STORE WITHIN VENDOR’S STATE OF RESIDENCY.

Store business entity, believes and support the taxation of Digital Goods as they are tangible personal property that have reseller privileges with the appropriate licenses. Although we may not taste or touch it, we can certainly hear and see its contents. With the boom of the digital millennium, it’s beneficial and we speculate, will be mandatory to impose tax on digital goods.

Orders Processing/Shipping/Delivery

Vendor shall keep all shipping fee collected and is responsible for shipping products to customers at Vendor’s own discretion, deliver at a reasonable amount of time. Customer complaints/disputes in regards to order processing/shipping/delivery needs to be handled by Vendor with priority. If such complaints are escalated to Store, its management staff will investigate disputes from both parties. Please refer to Store’s detailed [Terms of Use] for more information in regards to user disputes and arbitration.

Live Chat Support

Vendor may elect to use Store’s Live Chat Support feature to provide customer support for product sale and RMA request. If so, a user account will be provided. All marketplace storefront, cart, checkout and contact pages will have the Live Chat interface to initiate chat. Store staff will dispatch/relay the request to the product Vendor. Vendor will be able to assist customers throughout the site and shop just like a physical shop location but at a virtual perspective via desktop, laptop, tablet and mobile.

Acceptable Products

Product of Vendor’s shop category displayed on marketplace are acceptable for submission. Vendors are not permitted to edit live products regardless of pay rate. Approval is required for submitting live products. Store reserves the right for final approval/edit/review of products to ensure accuracy, integrity and tax/shipping classes are corrected for proper commission payout. To prevent delays, please make sure that shipping and tax classes are correct at time of adding product before submission or save a draft of the created product.

PLEASE DO NOT SUBMIT PRODUCTS FOR FRIENDS OR FOR ANOTHER BUSINESS TO SHIP. THIS IS A VIOLATION OF PAYPAL’S ACCEPTABLE USE POLICY AND STORE’S VENDOR TERMS & CONDITIONS WHICH WILL LEAD TO ACCOUNT SUSPENSION AND/OR TERMINATION. HAVE THEM CONSIDER OPENING A PAYPAL ACCOUNT. TAX DOCUMENTS ARE REQUIRED FOR EVERY BUSINESS/PERSONAL SELLER ACCOUNT INVOLVED IN THE MARKETPLACE AND TRADE.

Gateway Fees, Chargebacks and Refunds

Store does not charge any usage fees whatsoever. All gateway fees are handled by PayPal. Please refer to PayPal Fees . Vendors are responsible for chargebacks and customer refunds (i.e.; overpaid shipping at the result of estimated shipping calculations greater than the actual cost to ship a package, customer may decide to return an unopened product package for a full refund on the basis of lost interest).

International Shipping

Customers will only be able to ship to countries on Store shipping list of available destinations. Vendor will be subject to U.S. Customs Service declaration and inspection of package contents. Please visit USPS.com for international customs forms or UPS.com if you need guidance.

VENDOR TAKES FULL LIABILITY SHIPPING TO UNDELIVERABLE ADDRESSES AND TO COUNTRIES NOT ON STORE SHIPPING LIST DUE TO OUTSIDE COMMUNICATION WITH CUSTOMER SHIPPING TO A NON-BILLING ADDRESS AS CHARGED. VENDOR HEREBY RELEASES STORE FROM ALL AND FUTURE CLAIMS AND LIABILITIES RESULTING FROM VENDOR’S NEGLIGENCE OF STORE SHIPPING POLICIES.

Local Shipping Options

Beneficial to local business with own transportation for delivery. Vendors are responsible for own transportation costs (i.e; gas, courier fees) and valid auto insurance for services (i.e; business, personal). Compliance with the Department of Transportation (DOT) regulations may be required. Store Zip-codes for local delivery; 91776 (San Gabriel), 91006-91007 (Arcadia), 91801 (Alhambra), 91108 (San Marino), 91780 (Temple City). Other metropolitan areas will added to local shipping options on demand.

PER STORE SHIPPING POLICY, EVEN LOCAL SHIPPING ADDRESSES MAY BE UNDELIVERABLE LEAVING PACKAGES TO BE ABANDONED BY COURIER. STORE WARANTS NO LIABILITIES ON ABANDONED/DAMAGED/LOST/STOLEN PACKAGES FROM KNOWN AND UNKNOWN SHIPPING ADDRESSES.
